TERMS OF USE

Unless otherwise specified, the terms of use of MrCall outlined in this section apply generally.

Additional terms of use or access conditions applicable in specific situations are expressly stated in this document.

By using MrCall, the User declares that they meet the following requirements:

  • There are no restrictions concerning whether Users are Consumers or Professional Users.
  • The User is not located in a country subject to a U.S. government embargo or in a country designated by the U.S. government as a state sponsor of terrorism.
  • The User is not listed on any U.S. government prohibited or restricted parties list.

Registration

To use the Service, the User may create an account by providing all required data and information accurately and completely.

It is not possible to use the Service without opening a User account.

Users are responsible for keeping their login credentials secure and confidential. They must choose a password with the highest level of security available on MrCall.

By creating an account, the User accepts full responsibility for all activities performed with their login credentials.

Users must immediately and unequivocally inform the Owner via the contact details provided in this document if they believe their personal information (e.g., User account, login credentials, or personal data) has been compromised, unlawfully disclosed, or stolen.

Registration Requirements

Registering a User account on MrCall is subject to the following conditions. By creating an account, the User confirms that they meet these requirements:

  • Creating an account using bots or other automated means is not permitted.
  • Unless otherwise specified, each User may create only one account.
  • Unless explicitly permitted, a User’s account cannot be shared with other people.

Closing an Account

Users are free to close their accounts and stop using the Service at any time by following this procedure:

  • Contacting the Owner using the contact details in this document.

Account Suspension and Deletion

The Owner reserves the right to suspend or delete a User’s account at any time at its discretion and without notice, if it considers the account inappropriate, offensive, or in violation of these Terms.

Suspension or deletion of an account does not entitle the User to any compensation, refund, or indemnity.

If an account is suspended or deleted due to User misconduct, the User is still responsible for paying any applicable fees or charges.


Content on MrCall

Unless otherwise specified or clearly recognized, all content available on MrCall is owned by or provided by the Owner or its licensors.

The Owner takes the utmost care to ensure that the content available on MrCall does not violate applicable laws or third-party rights. However, achieving this goal is not always possible.

In such cases, without prejudice to any legally exercisable rights or claims, Users are requested to direct any complaints to the contact details specified in this document.

Intellectual Property Rights on MrCall Content

The Owner explicitly holds and reserves all intellectual property rights on the content.

Users are not authorized to use the content in any way that is not necessary or implied in the proper use of the Service.

Specifically, but without limitation, Users are prohibited from:

  • Copying, downloading, sharing (beyond the limits outlined), modifying, translating, adapting, publishing, transmitting, selling, sublicensing, transforming, transferring, or creating derivative works from the content available on MrCall.
  • Allowing third parties to perform such activities through their User account or device, even unknowingly.

If explicitly stated on MrCall, Users are permitted to download, copy, and/or share certain content exclusively for personal, non-commercial purposes, provided that proper attribution is maintained and all relevant legal obligations required by the Owner are observed.

All restrictions and exceptions provided by copyright laws remain in effect.


Use of External Resources

Through MrCall, Users may access resources provided by third parties.

Users acknowledge and agree that the Owner has no control over such resources and is therefore not responsible for their content or availability.

The terms applicable to resources provided by third parties, including those related to any licensing rights on content, are determined by those third parties and governed by their respective terms and conditions or, if absent, by law.


Permitted Use

MrCall and the Service may only be used for the purposes for which they are offered, in accordance with these Terms and applicable law.

It is the sole responsibility of the User to ensure that their use of MrCall and/or the Service does not violate laws, regulations, or third-party rights.

Therefore, the Owner reserves the right to take appropriate measures to protect its legitimate interests, including denying access to MrCall or the Service, terminating contracts, and reporting any questionable activity to the competent authorities (e.g., judicial or administrative authorities).

This applies whenever a User engages in or is suspected of engaging in:

  • Violations of laws, regulations, or these Terms
  • Infringement of third-party rights
  • Actions that may significantly harm the Owner’s legitimate interests
  • Defamation or offenses against the Owner or third parties

Software License

Any intellectual or industrial property rights, as well as any other exclusive rights over the software or technology incorporated into or related to MrCall, are owned by the Owner and/or its licensors.

As long as the User complies with these Terms and notwithstanding any divergent provisions, the Owner grants Users a revocable, non-exclusive, non-transferable, and non-sublicensable license to use the software and/or technology integrated into the Service, solely for the scope and purpose of MrCall and its offered functionalities.

This license does not include any rights to:

  • Access, use, or disclose the original source code
  • Reverse-engineer, decompile, disassemble, modify, translate, or create derivative works from the software
  • Exploit the software in any unauthorized way

The rights and licenses granted to the User immediately terminate in case of contract termination or expiration.


TERMS AND CONDITIONS OF SALE

Paid Products

Some of the Products offered on MrCall as part of the Service require payment.

The applicable fees, duration, and conditions of sale for these Products are described in this section and in the relevant areas of MrCall.

To purchase these Products, the User must register or log in to MrCall.


Product Description

Prices, descriptions, and availability of Products are specified in the respective sections of MrCall and may change without notice.

While MrCall presents its Products with the highest technical accuracy possible, representations (including visuals, graphics, colors, sounds) are for reference only and do not imply a guarantee regarding the purchased Product’s exact features.

The precise characteristics of each selected Product will be detailed during the purchase process.


Purchase Procedure

Each step, from selecting the Product to placing an order, is part of the purchase process.

The process includes the following steps:

  1. Users select the desired Product and review their purchase choice.
  2. Users confirm and submit their order.

Placing an Order

Placing an order entails the following:

  • The order submission constitutes a binding contract, obligating the User to pay the specified price, including taxes and any additional costs.
  • If a purchased Product requires user action (e.g., providing personal data, specifications, or particular requests), the order also implies an obligation to collaborate accordingly.
  • Once an order is submitted, Users receive an order confirmation receipt.

All notifications related to the purchase process are sent to the email address provided by the User.


Prices

Before submitting an order, Users are clearly informed of all fees, taxes, and costs (including shipping fees, if applicable).

The prices on MrCall:

  • Are displayed excluding any applicable fees, taxes, or additional costs.

Payment Methods

Details on accepted payment methods are shown during the purchase process.

Some payment methods may be subject to additional conditions or fees, as detailed on MrCall.

Third-Party Payment Processing

All payments are processed independently through third-party services.

  • MrCall does NOT collect or store payment details (e.g., credit card numbers).
  • MrCall only receives payment confirmation from the payment provider.
  • For more details on data processing, Users should refer to the MrCall privacy policy.

If a payment fails or is rejected, the Owner is not obligated to fulfill the order. In such cases, the Owner may request the User to cover any resulting costs.


Purchases via App Stores

Certain MrCall Products must be purchased via third-party app stores (e.g., Apple App Store, Google Play). Users must follow the specific instructions provided by the respective app store.

Unless otherwise stated, app store purchases are also subject to the terms and conditions of the app store provider. These terms override any conflicting provisions in these Terms.

Users purchasing through third-party app stores should carefully read and accept the relevant terms and conditions before proceeding.


Retention of Usage Rights

Until the full payment is received, the User does not acquire any rights to use the purchased Products.


Delivery of Services

Purchased services will be executed or made available within the timeframe indicated on MrCall or communicated before order submission.


CONTRACT DURATION

Trial Period

Users may test MrCall or specific Products for a limited free trial period.

  • Some features may be unavailable during the trial.
  • The duration and conditions of the trial will be specified on MrCall.

Auto-Renewal After Trial

Unless canceled before the trial ends, the trial will automatically convert into a paid subscription.


Subscriptions

A subscription grants Users continuous or periodic access to a Product.

The subscription type and cancellation policies are described below.

Indefinite-Term Subscriptions

Paid subscriptions start on the date of the first payment received by the Owner.

  • To keep the subscription active, Users must pay the recurring fee on time.
  • Failure to pay may result in service suspension.

Subscriptions via Apple ID

Users may subscribe via their Apple ID through the MrCall Apple App Store page. By doing so, they acknowledge that:

  • Payments will be charged to their Apple ID.
  • Subscriptions automatically renew unless canceled at least 24 hours before the renewal date.
  • Renewal payments are charged 24 hours before the current subscription period ends.
  • Subscriptions can be managed or canceled in the Apple App Store settings.

This policy overrides any conflicting or divergent terms in this document.


Cancellation of Subscriptions

Subscriptions can be canceled by:

  • Sending a clear cancellation request to the Owner via the contact details provided in this document.
  • Following the cancellation instructions available on MrCall.

Cancellation of Indefinite-Term Subscriptions

Indefinite-term subscriptions may be canceled at any time by:

  • Sending a cancellation request to the Owner via the contact details provided.
  • If applicable, following the cancellation instructions on MrCall.

Cancellation takes effect 2 days after the Owner receives the request.


User Rights

UK Consumer Rights – Right to Cancel

Users who are Consumers in the United Kingdom may be entitled to withdraw from online contracts (distance contracts) within 14 days, for any reason and without justification.

Non-Consumer Users cannot benefit from this right.

How to Cancel

  • Users must send the Owner a clear statement of their intent to withdraw from the contract.
  • A model withdrawal form is available in the definitions section of this document.
  • To meet the deadline, Users must send the notice before the cancellation period expires.

Refunds After Cancellation

  • Users who legally withdraw will receive a full refund, including any delivery costs paid.
  • However, additional delivery costs beyond the cheapest available option will not be refunded.
  • Refunds are issued within 14 days from the date the Owner is informed of the withdrawal.
  • Refunds will be made using the same payment method used for the initial transaction.
  • Users will not be charged additional fees for the refund.

If a User cancels after requesting service activation before the cancellation period expires, they must pay a proportional fee for the part of the service provided.

LIMITATION OF LIABILITY AND INDEMNIFICATION

Indemnification

The User agrees to indemnify and hold harmless the Owner, its affiliates, officers, agents, co-brand owners, partners, and employees to the fullest extent permitted by law from any claims or demands, including but not limited to legal fees, brought by third parties due to or in connection with:

  • Any violation of these Terms
  • Any infringement of third-party rights
  • Any misuse of the Service
  • Any damages caused to third parties due to actions linked to MrCall

Limitation of Liability for User Actions on MrCall

Except where otherwise stated and within the limits of applicable law, the Owner is not liable for any claims for compensation regarding MrCall.

This exclusion does not apply in cases of:

  • Death, personal injury, or mental or physical harm
  • Breach of essential contractual obligations
  • Intentional misconduct or gross negligence

However, if damages are not caused by intentional misconduct or gross negligence, the Owner’s liability is limited to the foreseeable and typical damages at the time of contract conclusion.

Specific Limitations of Liability

Within these constraints, the Owner does not assume responsibility for:

  • Interruptions or malfunctions of MrCall due to force majeure (e.g., infrastructure failures, power outages, natural disasters, cyber-attacks, etc.)
  • Losses that are not a direct result of a breach of the Terms by the Owner
  • Lost profits, revenue, goodwill, or business opportunities
  • Virus infections or malware from downloads or interactions with MrCall
  • Technical issues related to internet service providers, telecommunication networks, or third-party applications

For non-Consumer Users, the Owner’s maximum liability is limited to:

  • The total amount paid by the User to the Owner in the last 12 months, or
  • The entire duration of the contract (if shorter than 12 months)

whichever is lower.


DISPUTE RESOLUTION

Amicable Resolution of Disputes

Users may report any disputes to the Owner, who will attempt to resolve them amicably.

Before taking legal action, Users are encouraged to contact the Owner via the details provided in this document.

Complaints should be submitted via email and include:

  • A brief description of the issue
  • Relevant details about the order, purchase, or account

The Owner will respond within 2 business days of receiving the request.


Consumer Dispute Resolution Platform (EU)

European Consumers or those in Norway, Iceland, or Liechtenstein can use the European Commission’s online dispute resolution platform, available at:

GENERAL PROVISIONS

No Implicit Waiver

Failure by the Owner to exercise legal rights or claims under these Terms does not constitute a waiver of such rights.

Any waiver must be explicitly stated in writing.


Service Interruption

To ensure optimal service, the Owner reserves the right to:

  • Temporarily suspend MrCall for maintenance, updates, or other modifications
  • Permanently shut down the Service, provided Users are given prior notice

In the event of permanent shutdown, the Owner will ensure:

  • Users can retrieve their personal data before discontinuation
  • Users’ rights under consumer protection laws are respected

The Service may also be unavailable due to unforeseeable events, such as:

  • Infrastructure failures
  • Power outages
  • Network disruptions
  • Cybersecurity attacks

Resale of the Service

Users are not allowed to reproduce, duplicate, sell, resell, or exploit MrCall or its Service in whole or in part without prior written permission from the Owner.


Privacy Policy

The processing of Users’ personal data is regulated by the MrCall Privacy Policy, which can be accessed within the platform.


Intellectual Property

Unless otherwise specified, all intellectual property rights related to MrCall (e.g., trademarks, copyrights, patents) are exclusively owned by the Owner or its licensors.

All logos, images, and names associated with MrCall remain the exclusive property of the Owner and are protected under international intellectual property laws.


Modifications to the Terms

The Owner reserves the right to modify these Terms at any time. If changes occur:

  • Users will be notified in advance
  • The modifications will take effect from the communicated date
  • If the User continues to use the Service, they accept the modified Terms

If the User does not accept the changes, they must stop using the Service and may terminate the Agreement.

Users may request a copy of the previous version of the Terms from the Owner.


Assignment of Contract

The Owner reserves the right to transfer, assign, dispose of, or subcontract its rights and obligations under these Terms, ensuring Users’ legitimate interests are protected.

Users may not assign or transfer their rights under these Terms without prior written consent from the Owner.

Severability Clause

If any provision of these Terms is found to be invalid or unenforceable under applicable law:

  • The remaining provisions will remain valid
  • The invalid provision will be replaced with a valid, enforceable one that reflects the original intent

For U.S. Users

  • Any invalid clause will be interpreted and adjusted to the extent necessary to be valid
  • These Terms constitute the entire agreement between the User and the Owner
  • These Terms will be enforced to the maximum extent permitted by law

For European Users

  • If an invalid provision affects the core purpose of the contract, the parties will attempt to replace it with a valid one
  • If no agreement is reached, legal provisions will apply
  • The invalidity of a single clause does not invalidate the entire contract, unless:
    • The invalid clause is essential to the agreement, or
    • The remaining provisions create an unreasonable burden for one of the parties

APPLICABLE LAW AND JURISDICTION

Governing Law

These Terms are governed by the laws of the country where the Owner is established (Italy), regardless of conflict-of-law principles.

Exception for Consumers

If the User’s country grants a higher level of consumer protection, those protections prevail.


Jurisdiction

Exclusive jurisdiction for any dispute related to these Terms rests with the courts of the Owner’s location (Italy).

Exception for European Consumers

This does not apply to European Consumers or those in the UK, Switzerland, Norway, or Iceland.


Post-Termination Provisions (U.S. Users)

This Agreement remains valid until terminated by MrCall or the User.

Upon termination, the following provisions remain in effect:

  • User licenses granted under these Terms continue indefinitely
  • User indemnification obligations remain for five years
  • Disclaimers and liability limitations remain permanently
